Item 8.01 Other Events

As previously disclosed, in August 2019, Omnicell, Inc., a Delaware corporation (the “Company”) received a letter from the Denver office of the Securities and Exchange Commission (the “SEC”) seeking information related to the Company’s accounting processes and procedures. The Company responded and fully cooperated with the SEC. On February 12, 2020, the Company received a letter from the SEC confirming that it has concluded its investigation and that the SEC does not intend to recommend any enforcement action against the Company.
